The Board of Directors, management and employees of Sequachee Valley Electric Cooperative are pleased to welcome
you as a potential new member of the Cooperative. We are proud of the quality of service which the Cooperative
provides, and we pledge to you that we will make every effort to make your association with the Cooperative a pleasant

which you have an interest and to participate in its activities.

BOARD OF DIRECTORS
RESPONSIBILITIES
The operation of the Cooperative is governed by the Board of Directors elected from the Cooperative's
members. The Board consists of eleven (11) members, each of whom represents the members of the district where he/she
lives. The qualifications and manner of selection of Directors are detailed in the Bylaws of the Cooperative, a
copy of which is available at your district office. Board members are elected for terms of
four (4) years.
The officers of the Cooperative are elected annually from among the Board members. They perform the duties detailed
in the Bylaws. Among these duties are the conduct of regular monthly Board meetings at which they review operations,
adopt policies for the governance of the Cooperative, approve budgets, contracts, and other actions, and make long-range
plans for the future operation of the business. Board meetings are usually held at the headquarters office in South
Pittsburg but occasionally are conducted at a district office. Board meetings are generally held on the second
Thursday of each month. The names of current members of the Board of Directors and districts they represent can
be secured from any of the Cooperative's four offices.
The Board of Directors selects and appoints a President/CEO, who is the Chief Operating Officer of the Cooperative
and responsible for the day-by-day operation of the business.

COOPERATIVE OPERATIONS
An electric cooperative is a service-oriented business organization which is owned by the people who receive electricity
from it. It is a not-for-profit operation, and any revenues received in excess of the amount needed to run the
business are retained in the names of the members as investment capital (Patronage Capital) to enable the Cooperative
to build equity to a point that the business will no longer have debt or need to borrow money to build additional
lines.
As a corporation, Sequachee Valley Electric Cooperative pays ad valorem property taxes to each of the 17 taxing
districts where it has facilities. Because it is a non-profit operation, the Cooperative is exempt from the payment
of some federal taxes, but not all.
When a person applies for electric service with the Cooperative, he/she also applies for membership in the Cooperative.
This membership entitles that person to attend the annual and any special membership meetings and to participate
in the election of the Board of Directors who govern the operation of the business.
